30/5/17 The Meaning of Supersede

The Meaning of Supersede

Do you know this verb? Now you will.
Supersede means to take the place of. It may be the most misspelled word in legal writing: it appears as *supercede in almost a thousand federal-court opinions. It derives from the Latin sedeo (sit), not cedo (yield).
Supersession is the noun.

It is very frequently used in the Entire Agreement contract clause:

Entire Agreement

This Agreement represents the entire understanding between the parties hereto

[with respect to the subject matter hereof] and this Agreement supersedes any and all prior agreements, obligations, understandings and representations, whether written or oral, between the parties [with respect to the subject matter hereof].
